Duties of Directors
The (new) Companies Act, No. 71 of 2008, which came into effect from May 2011, made some fundamental changes to the duties of directors and the way that breaches of these are viewed. Not only are the duties codified fully, but directors of a company can be held personally liable should they not carry out their duties appropriately. What’s more, officers of a company – not just the directors – can also be held liable.
Consequently, it is critical that directors and officers of companies understand what is required of them in order to avoid personal liability and potential civil and criminal penalties.
Of course, carrying out these duties is also about sound business practices, so awareness of and compliance with them will lead to a more sustainable business overall.
This session will take you through duties of directors, what you need to do to protect yourself from liability and to improve your business prospects overall.
